By using SaaS Forge boilerplate, you agree that this End User User License Agreement (EULA) is a legally binding and valid contract and agree to be bound by it. You agree to abide by the intellectual property laws and all of the terms and conditions of this Agreement.

This license agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, also referred to as "licensee", "you") and SaaS Forge Inc. ("SaaS Forge"). The software containing this license also includes the software’s source code, associated media and online or electronic documentation (collectively referred to as "SaaS Forge boilerplate").

Unless you have a different license agreement signed by SaaS Forge your use of SaaS Forge boilerplate indicates your acceptance of this license agreement and warranty.

Subject to the terms of this Agreement, SaaS Forge grants to you a limited, non-exclusive, non-transferable license, without right to sub-license, to use SaaS Forge boilerplate in accordance with this Agreement and any other written agreement with SaaS Forge Inc.

SaaS Forge boilerplate is life time. That means, once you buy it, you can use the license forever within the restrictions described in this document.

SaaS Forge boilerplate License includes 1-year premium forum support, upgrade and access to private repository in Github to follow source code changes. Please refer FAQ for more details.

SaaS Forge hereby grants to you, and you accept, a non-exclusive, non-transferable license to install, copy, use and modify the SaaS Forge boilerplate only as permitted in this Agreement. All product licenses are perpetual and royalty-free.

You are granted a license to use the SaaS Forge boilerplate as the basis of any number of applications, so long as that applications are owned and operated by you, the Licensee, or is owned and operated by clients of Licensee.

SaaS Forge and the license herein granted shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred, made as open-source or sub-licensed in whole or in part except that you may make one copy for archive purposes only.

You shall use SaaS Forge boilerplate in compliance with all applicable laws and not for any unlawful purpose. Without limiting the foregoing, use, display or distribution of SaaS Forge together with material that is pornographic, racist, vulgar, obscene, defamatory, libelous, abusive, promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, sexual orientation or age is strictly prohibited.

SaaS Forge boilerplate has three type of licenses:

• Free: Can be used without any restrictions. Support is by email only, low priority.
• Pro License: Only 2 developers can be added to our private repository; access to it for one year.
• Business License: Any number of developers can be added to our private respository; access to it for one year; assistance in deployment (by email or video, up to 5 hours/year).

Note: restrictions are only about a number of developers added to our private repository storing the source code. You can share the code of SaaS Forge boilerplate inside your company without any restrictions.

If you are a company: You can't share the code of SaaS Forge boilerplate to anyone not working in your company.

If you are a sole developer: You can't share the code of SaaS Forge boilerplate with anyone else.

You can sell your product/project to any number of your customers. But you cannot deliver source code to your customer. If you need to deliver source code of your product, that customer needs to buy a separated license.

You may not redistribute the SaaS Forge boilerplate to anyone and via any means other than to your customers as a part of a purchased, integrated solution, that includes functionality above and beyond that provided solely by the SaaS Forge boilerplate.

You can remove all labels "SaaS Forge" from the source code.

SaaS Forge provides premium support by email for SaaS Forge boilerplate for the period of your license.

Your question is answered in a few hours to 1-2 work days depending on business of our support team and scope of your question.

This type of support only covers using SaaS Forge boilerplate and doesn't covers these:

• General development and design questions
• Problems related to 3rd party libraries, packages, and frameworks (like ReactJS, Flask, SQLAlchemy etc.) but not related to SaaS Forge boilerplate
• Problems related to your own code - for this cases please call the private support (see below).

SaaS Forge offers private support (by email and videochat) at rate $60 USD/hour. If you have private support requirement, please contact to info@saasforge.dev.

You will indemnify, hold harmless, and defend SaaS Forge, its employees, agents and distributors against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of SaaS Forge's Software.

In no event (including, without limitation, in the event of negligence) will SaaS Forge , its employees, agents or distributors be liable for any consequential, incidental, indirect, special or punitive damages whatsoever including, without limitation:

• damages for loss of profits,
• loss of use,
• usiness interruption,
• loss of information or data,
• pecuniary loss.

in connection with or arising out of or related to this Agreement, SaaS Forge or the use or inability to use SaaS Forge boilerplate or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence.

SaaS Forge's entire liability, without exception, is limited to the customers' reimbursement of the purchase price of the Software (maximum being the lesser of the amount paid by you and the suggested retail price as listed by SaaS Forge) in exchange for the return of the product, all copies, registration papers and manuals, and all materials that constitute a transfer of license from the customer back to SaaS Forge.

Befor buying any commercial license, get familiarize with the free version of SaaS Forge boilerplate.
No refunds can be provided. If you experience issues with the SaaS Forge boilerplate, please contact support at info@saasforge.dev for free assistance.

This Agreement shall be governed by the law of the Canada applicable therein. You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of Canada therefrom.

If any provision shall be considered unlawful, void or otherwise unenforceable, then that provision shall be deemed severable from this Agreement and not affect the validity and enforceability of any other provisions.

Any failure to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this license. Upon termination of this license granted herein for any reason, you agree to immediately cease use of SaaS Forge boilerplate and destroy all copies of SaaS Forge boilerplateo supplied under this Agreement. The financial obligations incurred by you shall survive the expiration or termination of this license.

THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. THIS DISCLAIMER CONCERNS ALL FILES GENERATED AND EDITED BY SaaS Forge AS WELL.
